Terms of Service
Last updated 25 October 2026
These Terms of Service (“Terms”) govern your access to and use of Clio (the “Service”), operated by New Odyssey (“New Odyssey”, “we”, “us”). By creating an account or using the Service you agree to these Terms on behalf of yourself and any organisation you represent (“Customer”, “you”).
1. The Service
Clio is a software-as-a-service platform that helps you research markets, plan editorial calendars, generate draft content (including text, images, narration and video), monitor search and AI-assistant visibility, and manage approvals. Features, allowances and limits depend on your plan and may evolve over time.
2. Accounts
You must provide accurate information, keep your sign-in email secure and are responsible for activity under your account and workspace. Workspace owners control who may access their workspace and with which role.
3. Subscriptions, trials and billing
- Paid plans are billed monthly in advance through our payment processor, Stripe. Prices exclude applicable taxes.
- Trials last the period stated at sign-up, require a valid payment method and are subject to trial usage limits. Unless you cancel before the trial ends, your subscription starts and your payment method is charged.
- Usage beyond your plan’s monthly allowances is billed at the published overage rates in arrears on your next invoice.
- You may upgrade, downgrade or cancel at any time. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
- We may change prices with at least 30 days’ notice, effective from your next billing period.
4. Your content
You retain all rights to the materials you provide (product information, brand assets, knowledge sources, questions) and to the outputs generated for you (“Customer Content”), subject to third-party rights. You grant us a limited licence to host, process and transmit Customer Content solely to provide and improve the Service and as described in our Privacy Policy. We do not use Customer Content to train our own foundation models.
5. AI-generated output
Outputs are generated by machine-learning models and may be inaccurate, incomplete or similar to content produced for others. The Service includes review and approval tools, but you are responsible for reviewing outputs before publishing them and for ensuring that what you publish is accurate, lawful and appropriately disclosed (for example, AI-generated narration). We do not guarantee any search ranking, AI-assistant recommendation, traffic, leads or revenue outcome.
6. Acceptable use
You must not use the Service to: violate laws or third-party rights; publish deceptive, defamatory or fabricated claims or reviews; send unsolicited bulk communications or purchased-link schemes disguised as editorial coverage; impersonate others; generate unlawful, harmful or sexually explicit content; attempt to access other customers’ data; probe, overload or reverse-engineer the Service; or circumvent usage limits. We may suspend accounts that breach these rules.
7. Third-party services
The Service relies on third-party providers, including OpenAI (AI processing), Stripe (payments), Resend (email), Render and Cloudflare (hosting, storage and networking) and search-data providers. Integrations you connect are also subject to those providers’ terms.
8. Availability and changes
We aim for high availability but the Service is provided without a service-level guarantee unless agreed in writing. We may modify or discontinue features, and will give reasonable notice of material adverse changes.
9. Confidentiality and security
We implement reasonable technical and organisational measures to protect Customer Content, including access controls, encryption in transit and audit logging of key actions.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided “as is” and we disclaim all implied warranties. Our aggregate liability arising from these Terms is limited to the fees you paid for the Service in the 12 months before the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach or non-payment. After termination you may request an export of Customer Content within 30 days, after which it may be deleted.
12. General
These Terms are the entire agreement regarding the Service and supersede prior understandings. If a provision is unenforceable the remainder continues in effect. Governing law and venue will be stated in the final version of these Terms.
